Why it matters

Anthropic announced on October 18, 2026, that it will commit 5% of its shares to a new Anthropic Public Benefit Fund. The pledge requires stockholder approval. The fund is a wholly owned limited liability company, and its board can add 2% more for every 50% rise in company value above a baseline Anthropic has not disclosed. Anthropic has suggested the fund could make large nonprofit donations, make direct payments to specific groups, and finance programs for workers displaced by AI. The company says the fund's equity will not be used for lobbying or political giving. It is a Delaware public benefit corporation, and its Long-Term Benefit Trust, whose trustees are Neil Shah, Richard Fontaine, and Ben Bernanke, elects a growing share of its board. The new fund joins an earlier pledge by the six cofounders to donate 80% of their equity, an employee equity-donation match, and a $200 million commitment to study AI's labor effects.

The governance structure of the fund is not yet public. Anthropic has not released the valuation baseline, the governance terms, or the rules for how the board will set payouts. The fund's legal terms will matter as much as its stated purpose, and none of them have been published.

The announcement comes as Anthropic reportedly prepares an IPO as soon as November, with a valuation target above $2 trillion. The company told investors that third-quarter revenue rose 45% to $16.8 billion. At the $965 billion valuation from its May funding round, the 5% stake is worth about $48 billion on paper. At $2 trillion, it would be closer to $100 billion. Critics argue the fund is a way to build goodwill before the listing, and Elon Musk has called for binding payout rules. Attorneys should watch the stockholder vote, the baseline and governance terms when they are disclosed, and how any IPO filing describes the fund's obligations and independence from the company.
