Why it matters

AkzoNobel is in early talks to sell its European vehicle refinishing business, a move meant to clear regulatory hurdles for its all-share merger with Axalta. The Wall Street Journal reported the talks on October 21, 2026, citing AkzoNobel CEO Greg Poux-Guillaume. The merger, to be carried out under Bermuda law, would combine roughly 100 paint and coatings brands across more than 160 countries under the name Axanzo, with the planned ticker AXZ. Key clearances are required in the European Union, the United Kingdom and the United States, plus a Foreign Subsidies Regulation filing. The European Commission's case is M.12269. The EU review is the main obstacle. The deal was notified on September 17, and the companies submitted commitments on October 15. That filing moved the provisional deadline for the Commission's preliminary review to November 6.

The talks are preliminary, and no buyer or price has been reported. AkzoNobel and Axalta have not publicly confirmed that the refinish business is included in the commitments package. Reuters reported in early October that concerns over powder coatings overlaps had already been resolved, leaving vehicle refinish as the remaining issue, but the companies have not said how the refinish sale would be structured. The terms of any required divestiture are unconfirmed. A conditional approval, if granted, would not be a final authorization.

For attorneys, the November 6 provisional deadline is the next fixed date to track in the EU docket. Watch for a buyer shortlist, any remedies in the UK or U.S., and whether the Commission opens a formal phase. The companies still target completion between late 2026 and early 2027, subject to regulatory approvals and other closing conditions, so a delay in the EU timetable would push that window.
