The Delaware Court of Chancery has enforced a California forum-selection clause in a dispute between Masimo Corp. and former CEO Joe Kiani over his $450 million severance package, ordering the case out of Delaware and into California state court. The court held that claims arising out of or relating to the employment agreement must proceed in the contractually chosen forum, declining to hear the merits of Masimo's underlying challenge to the severance arrangement.
