Why it matters

Bumble is nearing a take-private deal with Ithaca Holdings, a newly formed investment vehicle that values the dating app operator at roughly $1 billion, Reuters reported on October 12, 2026, citing a single source. The same day, The Wall Street Journal reported that Bumble (NASDAQ: BMBL) is in advanced talks to go private, and the stock jumped about 52% to $3.86, according to Reuters. The WSJ reported that founder and CEO Whitney Wolfe Herd is expected to roll over at least part of her stake and stay involved with the company. Ithaca is led by Sequoia Capital partner Ravi Gupta and former Meta chief revenue officer John Hegeman, according to The Information. The firm plans to apply AI and other advanced technologies to its investments, and Bumble would be one of its first major deals.

No deal has been announced. Terms could change before any agreement is signed, and the reporting relies on people familiar with the talks. Reuters' account rests on one source, and neither the price nor the structure of Wolfe Herd's rollover has been made public. An announcement could come as soon as this week.

The deal would mark a steep reset for a company that went public in 2021 at $43 a share, near a $14 billion valuation. Shares have since fallen more than 90%. Bumble's total paying users dropped more than 11% in 2025, and rival Match Group faces similar pressure in the sector. Counsel should watch for a definitive merger agreement, any special committee formation, and a Form 8-K filing. Because Wolfe Herd's rollover could make her an affiliate with a stake in the buyer's structure, the transaction may trigger SEC going-private disclosure requirements under Rule 13e-3, which would shape the proxy or information statement and the shareholder vote.
