Why it matters

Anthropic filed a public Form S-1 with the Securities and Exchange Commission on October 26, 2026, and plans to list Class A shares on Nasdaq under the ticker "ANT." The company could begin trading as soon as November 16. The filing shows $16.3 billion in revenue for the first half of 2026, compared with about $4.6 billion for all of 2025. Losses have grown just as fast: $1.5 billion in 2023, $8.3 billion in 2024, $42 billion in 2025, and $80.7 billion in the first half of 2026, which the company attributes largely to financing-related accounting charges. Anthropic also plans to spend more than $430 billion on locked-in cloud computing deals with Amazon, Google, and others.

The filing does not say how many shares will be sold or what price range is proposed. An S-1 is a public disclosure, not a pricing decision or a guarantee that the offering will proceed. The timeline has already moved once. Anthropic confidentially submitted its prospectus and announced the plan on June 1, after a $65 billion private round at a $965 billion post-money valuation in late May. Reuters sources had expected a public filing in September, and Bloomberg reported in early October that the company was aiming for a mid-November listing. OpenAI has reportedly delayed its own listing plans.

For attorneys, the filing is the first public look at Anthropic's finances and risk disclosures, including the risk that its AI models could cause real-world harm. Watch for the share count and price range, which typically appear in a later amended filing. Governance terms also matter: Anthropic is a Delaware public benefit corporation headquartered in San Francisco. The filing discloses that CEO Dario Amodei's base salary and that of Daniela Amodei were raised to $1.38 million, effective July 1.
