Why it matters

Anthropic, the developer of the Claude chatbot, filed its public S-1 registration statement with the SEC on October 26, 2026, seeking a Nasdaq listing under the ticker ANT. The same day, Bank of America, Blackstone, Citi, and Morgan Stanley set up a special-purpose vehicle to borrow against roughly $63 billion in Broadcom AI chips and networking gear. Anthropic will lease the equipment to run its models, and the lease payments are meant to repay the debt. According to the Wall Street Journal, Broadcom CEO Hock Tan stepped in over a weekend after several banks weighed walking away, closing the deal by agreeing to higher interest rates and stronger protections.

The filing lists no price range, share count, or listing date. The roughly $100 billion raise figure in reporting is speculation, not a company disclosure. The timeline has also slipped. Reuters reported in September that marketing could begin in mid-October at the earliest, and Bloomberg later pointed to a debut before Thanksgiving. Under SEC staff practice, the earliest roadshow is November 10. Anthropic's valuation was set at $965 billion in its Series H round, and it confidentially filed a draft S-1 on June 1, 2026. The first-half figures show revenue of about $16.3 billion and a net loss of $80.7 billion, most of it from non-cash changes in the fair value of convertible notes and similar instruments. Reporting does not yet explain why Anthropic's rivals back the IPO, so that claim remains unverified.

The listing would test whether public markets will fund frontier AI companies with very large spending commitments. The financing also ties a private lab's obligations to Broadcom, Amazon, and Google. The same-day activity is part of a broader shift. SpaceX secured $40 billion in debt to lease GPUs, and Meta raised its planned equity sale to as much as $97.5 billion, up from $95 billion, to fund data centers and compute. Commentators read this as a move from debt toward equity as AI spending runs well ahead of revenue. Tan warned on October 12 that capital could become the main constraint on the AI boom. Attorneys should watch for the amended S-1 to disclose the price range, share count, and lease terms, along with the confirmed roadshow date.
